IMPORTANT-READ CAREFULLY: These Terms of Use ("Terms") is a legal agreement between you ("you" or "your") & Skill Knight Studio & governs the use by you while you play  Skill Knight Studios s games ("Games") &/or use  Skill Knight Studios blog that link to these Terms of Use ("blogs"), or downloadable games &/or applications ("App") (collectively, the "Services"). By using the Services you agree to these Terms. If you do not agree to these Terms, do not purchase or use the Services.

BY PURCHASING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT & AGREE TO BE BOUND BY ITS TERMS & CONDITIONS.

PLEASE REVIEW SKILL KNIGHT STUDIO'S PRIVACY POLICY, WHICH IS INCORPORATED INTO THESE TERMS BY REFERENCE. BY ACCEPTING THESE TERMS, YOU ARE ALSO ACCEPTING THE PRIVACY POLICY.

1. Restrictions & License.

Subject to these Terms, Skill Knight Studio grants you a non-exclusive, limited, revocable, non-transferable license to use the Services for your personal, non-commercial use. As per terms you may not: (a) modify, translate, reverse-engineer, reverse-compile or decompile, disassemble, create derivative works of, or use data gathering or extraction tools in connection with the Services; (b) reproduce, duplicate, copy, sell, resell, or otherwise exploit the Services, in whole or in part, for any purpose without Skill Knight Studio's express written consent; (c) frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layouts, or forms) without the express written consent of the respective owner; (d) use any data mining tools or automation tools such as spiders, crawlers, scripts, bots, or any automated method of recording information in connection with the Services; (e) use any meta-tags or any other "hidden text" utilizing "Skill Knight Studio," the names of any Game or related characters, its affiliates, partners or artists without Skill Knight Studio's express written permission; or (f) engage in any happening in connection with the Services that may be considered illegal or tortious including, without limitation, "hacking" the Services, or infringing the intellectual property or other proprietary rights of Skill Knight Studio or third-parties.

Additionally, where the Services are an App, Skill Knight Studio grants you a non-exclusive, non-transferable, revocable, limited license to use the App for your personal, non-commercial use on authorized devices unless otherwise specified. The App may not be copied, resold, or sublicensed. These Terms mentioned here are applicable to all versions including, without limitation, free & paid versions & updates to the App.

The App may include measures to control access to the App (including age controls), prevent unauthorized copies, or otherwise attempt to prevent anyone from exceeding the limited rights & licenses granted under these Terms. You may not take any action to circumvent or defeat such security features. If you disable or otherwise tamper with the technical protection measures, your license to use the App or other Services will be automatically revoked.

2. Third-party product, Links & Services.

Skill Knight Studio may offer third-party products through the Services. You assume all risks & liabilities associated with the use of any such third-party products. Additionally, your rights & obligations regarding such products or services will be governed by the separate terms of use & privacy policies of the applicable third-party provider.

The Services may include hyperlinks to third-party websites over which Skill Knight Studio has no control. Skill Knight Studio is not responsible for the availability of such external, third-party sites or resources & will not be responsible or liable for any content, advertising, products, or other materials on or available from such third-party websites or resources.

3. In-app purchases.

A. In-game Virtual Currency & Virtual Assets

The Service may include an Option for you to earn, buy or obtain in-game currency ("Virtual Currency") to access virtual, in-game digital assets or items ("Virtual Items"). Methods of obtaining Virtual Currency are at Skill Knight Studio's sole discretion. Virtual Currency is not real currency, does not have monetary value, & may not be redeemed or alternative for legal currency, or items of value outside of the Services.

Virtual Currency & Virtual Assets obtained via the Service are provided to you under a limited, personal, revocable, non-transferable, non-sublicensable license to use within the Service. You have no property interest, right or title in or to any Virtual Currency or Virtual Assets appearing or originating in the Service, & these are not transferable or resold in any manner, including, without limitation, by means of any direct sale or auction service.

Skill Knight Studio has no liability for hacking or loss of your Virtual Currency or Virtual Assets or any goods or services obtained via Virtual Currency. Skill Knight Studio has no obligation to, & will not, reimburse you for any Virtual Currency or Virtual Assets obtained with Virtual Currency. Skill Knight Studio reserves the right, in its sole discretion & without prior notification, to change or limit the price, availability, or order quantity of any Virtual Currency or Virtual Assets & to refuse to provide you with any Virtual Currency or Virtual Assets.

Virtual Currency may have an expiration date. Virtual Currency & Virtual Assets may be forfeited if: (a) your Account or access to the Services is terminated or suspended for any reason; (b) you breach these Terms; (c) Skill Knight Studio discontinues availability of the Service, or (d) you disassociate from the Service.

B. Subscriptions

In this Game, you may pay a fee for a subscription membership ("Subscription").

When you buy a Subscription, you agree to the following:

  • A Subscription fee will be charged to your Selected payment method in the app store of your device's platform ("App Store"). You will be charged the Subscription fee shown at the time of sale; &

  • Your subscription will automatically renew for the applicable length of your Subscription until either you or Skill Knight Studio cancels your Subscription. By way of example, if you buy a 1-Week,1-Month,1-Year Subscription for $4.99, $9.99 & $35.99 respectively, the Subscription will automatically renew for the next period accordingly (unless either you or Skill Knight Studio cancels your Subscription).

Canceling Subscriptions:

To stop the automatic renewal of your Subscription & automatic withdrawal of Subscription fees, you must cancel your Subscription 24 hours before it renews for the length of the next Subscription period. You may cancel your subscription at any time by managing the subscription settings at your App Store.

Other Subscription Terms:

To receive any daily rewards as part of your Subscription, you must open the game. You will not receive rewards for the days on which you did not open the game.

C. Payments for Subscriptions, Virtual Currencies, & Virtual Assets

When you pay for a Subscription, Virtual Currencies, &/or Virtual Assets, all payments are charged & treated by the App Store (e.g. the Google Play Store or the Apple App store), so please review your app store's payment terms for additional payment terms that may apply.

You agree that all payments for Virtual Currency, Virtual Assets, & Subscriptions are final. No refunds will be given, except in Skill Knight Studio's sole & absolute choice.

4. Title.

Unless otherwise specified in these Terms, any & all title, ownership, rights, interest & intellectual property rights in & to the Services including all content therein (collectively the "Skill Knight Studio Content") shall remain with Skill Knight Studio &/or its licensors, as applicable, & are protected by the copyright laws worldwide copyright treaties. The names, logos, graphics, icons, & service names associated with the Skill Knight Studio Content are the trademarks, registered trademarks or trade dress of Skill Knight Studio or its licensors. You may not use, copy, transmit, modify, distribute, or create any plagiaristic works from the Services or the Skill Knight Studio Content without prior written Permission from Skill Knight Studio.

5. Disclaimer of warranty & limit of liability.

YOU ACKNOWLEDGE & AGREE THAT, TO THE MAXIMUM EXTENT ALLOWED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO & USE OF THE SERVICES & COLLECTIVE CONTENT REMAINS WITH YOU. NEITHER SKILL KNIGHT STUDIO NOR ANY OTHER PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES OR COLLECTIVE CONTENT WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES OR COLLECTIVE CONTENT, OR FROM ANY COMMUNICATIONS, INTERACTIONS OR MEETINGS WITH OTHER USERS OF THE SERVICES OR OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE SERVICES WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, & WHETHER OR NOT SKILL KNIGHT STUDIO HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

 

6. Indemnification.

You agree to hold harmless, indemnify & defend Skill Knight Studio, its licensors, affiliates & suppliers & their respective officers, directors & employees, from & against any losses, damages, fines & expenses (including attorneys' fees & costs) due to, arising out of, or relating to any information or item, including, without limitation.

7. Termination.

These Terms will automatically terminate if you fail to comply with any term hereof. You & Skill Knight Studio have the right to terminate or cancel your Account, at any time for any reason & without notice. Upon termination, you shall immediately discontinue use of the Services. 

8. No assignment.

You may not assign or transfer these Terms, by operation of law or otherwise, without Skill Knight Studio prior written consent. Any effort by you to allot or transfer these Terms, without such

consent, will be null & of no effect.  Skill Knight Studio may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the preceding, these Terms will bind & inure to the benefit of the parties, their successors & permitted assigns.

 

9. Dispute resolution.

You are solely responsible for your interactions with other users of the Service & any other parties with whom you interact through the Service &/or Skill Knight Studio. Skill Knight Studio reserves the right but has no obligation, to become involved in any way with these disputes. You will fully cooperate with Skill Knight Studio to investigate any suspected unlawful, fraudulent, or improper activity, including, without limitation, granting Noodlecake access to any password-protected portions of your Account.

If you have a dispute with one or more users, you release us (& our officers, directors, agents, subsidiaries, joint ventures & employees) from claims, demands & damages (actual & consequential) of every kind & nature, known & unknown, arising out of or in any way associated with such disputes.

 

10. Feedback & Notification.

Skill Knight Studio does not accept unsolicited feedback, suggestions, or other information about the Services, the Skill Knight Studio Content, or other aspects of its business. If you provide Skill Knight Studio with feedback or other ideas, you agree that Skill Knight Studio is free to use any feedback provided by you for any purpose (without compensation to you), including, without limitation, improving its products & services & creating derivative products
